This Agreement is between Company and you ("you", "your" or "Customer") This Section sets forth the terms and conditions which apply to the use by you of the Company Sites (as defined below) and any other subscription product or service offered for sale by Company and/or its affiliates (collectively, "Company "). The right to use any product or service offered by Company is personal to you and is not transferable to any other person or entity. Purchasing Products

By placing your order today you'll be shipped a 30-day supply of Sprung for $3.95(USD) S&H. If you feel Sprung is not for you, cancel within 14 days from your shipment notification email to avoid being shipped a fresh month supply of Sprung for the low monthly price of $59.99(USD) and enrollment in the auto-shipment program which sends you a month supply every 30 days at the low price of $59.99 (USD).Your order will ship USPS within 24 hours of your order date.Your credit card will be charged on the 15th day at 1:10am EST if you elect to stay in the monthly member program. To cancel anytime simply call 800-264-1412.

IMPORTANT: Beginning on the day that You place an order for a product ("Product") from the Website, Your fourteen (14) day Free Trial period begins ("Free Trial Period"). If You don't call customer service before the Free Trial Period ends, Your credit card will be charged for a new month supply and a fresh month supply of Sprung will be shipped. This shipment at the end of the trial period is non refundable. We are not charging you for the initial free trial bottle cost, that is yours to keep for the small S&H fee you paid initially.

The Free Trial Period is calculated in calendar days, NOT business days.

Delivery time is subtracted from Your Free Trial Period, and will reduce the number of days allocated to Your Free Trial Period. To extend Your Free Trial Period due to slow postal delivery or delayed pickup, You must call Our Customer Service Department toll-free at 800-264-1412 x101. Generally we will grant reasonable requests to extend Your Free Trial Period.

Under all circumstances You will be responsible to pay the shipping and handling charges for Your Product. You agree that we can charge Your credit card for shipping and handling charges, and You will pay such amount(s) regardless of whether You cancel Your Free Trial or not. No refunds are provided for shipping and handling charges.

If You cancel after Your Free Trial Period has ended, You will be responsible for the payment of Product that has either (i) already been shipped to You or (ii) already been delivered to You at the time of Your call.

Auto-Ship Program

Unless you cancel before the end of your trial period as specified above, we will ship your first 30-day supply of Sprung at the end of your trial period. Thereafter, you will continue to receive a fresh 30-day supply of Sprung each calendar month for as long as you stay a member of our auto-ship program. The card you provided when you ordered the trial product will be automatically charged $59.99 (plus tax if applicable) when each new product ships. To cancel future shipments in the auto-ship program, you must call 1 800 262 7144 at least 1 day prior to the date that your next monthly delivery ships. To inquire about increasing your monthly auto ship program please call customer service.

We shall promptly notify You by electronic mail of any such claim or suit, and cooperate fully (at Your expense) in the defense of such claim or suit. If we do not hear from You promptly, we reserve the right to defend such claim or suit and seek full recompense from You.

4. Shipping.

Our standard ground shipping takes from 3 to 4 business days within the continental United States. For international orders, we ship via Federal Express or DHL. Generally international shipments take 14-21 business days from day of shipment unless customs causes a delay for some reason.

If you have not received your order within 21 days from your purchase date, please call our customer care center to request a reshipment of your order.

If you entered the wrong address on our order form and we are forced to reship your package, there will be an additional shipping and handling charge equal to your original order.

5. Sales and Distribution.

Distributor will not sell any product on eBay, Amazon, any of their affiliate's websites or any other auction website or online marketplace. Prices do not include and are net of any foreign or domestic governmental taxes or charges of any kind that may be applicable to the sale, licensing, marketing or distribution of the products. Distributor understands and acknowledges that all sales are final and that they are not entitled to return any product for a refund. will not be responsible for any delays or lack of delivery due to customs clearance issues.

6. Cancellation Policy - Cancellations - Billing Errors - Refunds - 30 Day Return Policy:

Once an order has been submitted your credit card will be charged. Our ordering process is streamlined so your order will immediately be sent to processing and then shipping. Due to the high volume of orders we receive we will be unable to cancel an order after submitted. Please order carefully.

If You are ever not satisfied with any Product that You ordered, You may call Our Customer Service Department and request a refund.

You may receive a refund of any Product that You ordered up to thirty (30) days after Your order was placed. Customers will receive a single refund per Product ordered, and repetitive refunds are not permitted unless the Product, as delivered to You, is defective. The Company reserves the right to refuse a refund to any customer who repeatedly requests refunds or who, in the Company's judgment, requests refunds in bad faith.

In order to process Your refund, You must supply Us with Your name and delivery address. If You provide us with incorrect information, Your refund will be delayed. Refunds can take up to thirty (30) days to appear on Your credit card statement depending on the bank that issued your credit card If You have any questions about whether a refund has been issued, please call Our Customer Service Department.

Billing Errors

If You believe that You have been billed improperly, please notify Our Customer Service Department immediately. If We do not hear from You within thirty (30) days after such billing error first appears on any account statement, such fee will be deemed acceptable by You for all purposes, including resolution of inquiries made by Your credit card issuer. You release us from all liabilities and claims of loss resulting from any error or discrepancy that is not reported to Us within thirty (30) days of its publication.

Returns:

Returns: The initial free trial bottle and the additional month supply sent out at the end of Your trial period are none refundable. The below policy only applies to your 3rd shipment of product, which would be month two (2).

If you are unsatisfied with our product, you may return the unused portion 30 days from the date that the product was originally shipped to you for a FULL refund according to the following terms. To obtain a FULL refund, your return must be postmarked 30 days from the date that the product was originally shipped to you. Please note, the following terms apply for all returned items:

To return a product for an exchange or FULL refund you will need to obtain a Return Merchandize Authorization (RMA) number by contacting the billing department 1-800-264-1412 ext 101

Please Note:

1. We cannot process or refund packages marked "Return to Sender."
2. Refunds will be issued to the same credit card that was charged when ordering the product.
3. To ensure a refund is processed for you, please send returns to the address provided along with your RMA number. The RMA number must be clearly written on the package that you are sending back. Our shipping department is NOT allowed to accept any packages without an RMA number.

We are not responsible for lost or stolen items. We recommend all returned items to be sent using some type of delivery confirmation system to ensure proper delivery. After the shipping department receives your return, it generally takes 2 business days or sooner to process your refund. Once a return is processed, it usually takes 3-5 business days for this return to be posted to your account, depending on your financial institution.

7. MISCELLANEOUS

This Agreement and all matters arising out of, or otherwise relating to, this Agreement shall be governed exclusively by the laws of the State of Arizona, excluding its conflict of law provisions. Venue for any matter arising from or related to this Agreement shall exist solely and exclusively in Maricopa County, Arizona, and the parties hereby submit to the personal jurisdiction of the state and federal courts sitting in Maricopa County, Arizona for such purpose.

In the event any Party shall commence any claims, actions, formal legal action, or arbitration to interpret and/or enforce the terms and conditions of this Agreement, or relating in any way to this Agreement, including without limitation asserted breaches of representations and warranties, the prevailing party in any such action or proceeding shall be entitled to recover, in addition to all other available relief, its reasonable attorney's fees and costs incurred in connection therewith, including attorney's fees incurred on appeal. No waiver of or by the Company shall be deemed a waiver of any subsequent default of the same provision of this Agreement. If any term, clause or provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause or provision and such invalid term, clause or provision shall be deemed to be severed from this Agreement.

The Company shall not be responsible for any failure to perform due to unforeseen circumstances or to causes beyond Our reasonable control, including but not limited to: acts of God, such as fire, flood, earthquakes, hurricanes, tropical storms or other natural disasters; war, riot, arson, embargoes, acts of civil or military authority, or terrorism; strikes, or shortages in transportation, facilities, fuel, energy, labor or materials; failure of the telecommunications or information services infrastructure; hacking, SPAM, or any failure of a computer, server or software, for so long as such event continues to delay the Company's performance.

All headings are solely for the convenience of reference and shall not affect the meaning, construction or effect of this Agreement. This Agreement constitute the entire agreement between the parties with respect to Your access and use of the Website and Your ordering and use of the Products, and supersedes and replaces all prior understandings or agreements, written or oral, regarding such subject matters. The Company reserves the right to change any of the provisions posted herein and You agree to review these terms and conditions each time You visit the Website. Your continued use of the Website following the posting of any changes to these terms and conditions constitutes Your acceptance of such changes. The Company does not and will not assume any obligation to provide You with notice of any change to this document.
